Dell board will deal with Icahn, Blackstone

Michael Dell may have to hike the price he's willing to pay if he wants to take the computer company he founded private, thanks to competition from two new acquisition offers.

A special committee of independent Dell Inc. directors said Monday that it will negotiate with buyout specialist Blackstone Group and activist investor Carl Icahn over bids that rival an offer of more than $24 billion from CEO and Chairman Michael Dell and Silver Lake Partners.

The committee has determined that the bids could be superior to the proposal from Dell and Silver Lake, which amounts to $13.65 per share.

Blackstone proposed buying the Round Rock, Texas, company in a deal that would equate to more than $14.25 per share. Icahn wants to buy up to 58 percent of Dell's shares for $15 each.

Icahn Enterprises said in a statement its offer would allow shareholders "that believe, like us, that the future for Dell is bright," to continue with the company.

The special committee said Michael Dell is willing to work with third parties on alternate acquisition proposals.

"We intend to work diligently with all three potential acquirers to ensure the best possible outcome for Dell shareholders, whichever transaction that may be," said Alex Mandl, special committee chairman, in a statement.

That's good news for shareholders hoping for a higher price, and Dell Inc. shares climbed 3.3 percent, or 46 cents, to $14.60 in morning trading.

Dell and other PC makers are struggling as technology spending shifts to smartphones and tablet computers. Dell and HP, the top PC maker, are trying to adapt by making more tablets and diversifying into more profitable areas of technology, such as business software, data analytics and storage.

Michael Dell believes he will be in a better position to overhaul the company if he no longer has to worry about Wall Street's focus on profit fluctuations from one quarter to the next.

The special committee, which is made of four independent directors, spent more than five months evaluating options for Dell before deciding on the offer from Dell and Silver Lake. It considered changes to the company's business plan, a change in dividend policy and sales of all or parts of the business.

Silver Lake raised its bid six times by about $4 billion over the course of negotiations, and the committee said in a statement that it still recommends that bid while it evaluates the other offers.

Icahn, who has a $1 billion stock position in Dell, and other investors have criticized that bid as too low. Southeastern Asset Management, Dell's second-largest shareholder after Michael Dell, has asserted the company is worth closer to $24 per share.

The offer from Michael Dell and Silver Lake was announced in early February. Dell's board then set a 45-day period to allow for offers that might top that bid. That period expired Friday.

Many investors expected that a higher bid was in the works for the world's third-largest PC maker. Several buyout scenarios tying Blackstone to Dell were leaked to the media last week.

Shares of Dell had climbed nearly 40 percent so far in 2013, as of Friday's market close. That includes a rise of nearly 7 percent since the shares closed at $13.27 on Feb. 4, the day before the Dell-Silver Lake bid was announced.

Anyone who can justify the $1,449 outlay will be happy to know that Google has quietly narrowed down the launch window: early orders should now ship by April 8th. Shoppers will still have to be Americans willing to latch on to Verizon's network for LTE, but the date leaves a mere two weeks before the release of what's unquestionably the highest-end (and priciest) Chrome OS system yet. Any takers?

Suicide car bomb kills 17 Pakistani soldiers

PESHAWAR, Pakistan (AP) ? A car packed with explosives exploded next to a pair of fuel tankers at an army check post in northwestern Pakistan, killing 17 soldiers and wounding dozens, officials said Sunday.

The attack Saturday night occurred in the North Waziristan tribal area, the main sanctuary for Taliban and al-Qaida militants along Pakistan's restive border with Afghanistan.

The blast set the fuel tankers on fire and destroyed two residential army barracks, said intelligence officials, speaking on condition of anonymity because they were not authorized to talk to the media.

Janan Dawar, who lives about 14 kilometers (9 miles) away from the attack site in the town of Mir Ali, said he heard a huge explosion and saw flames leap into the air.

The blast killed 17 soldiers and wounded 34, said the intelligence officials. Three civilians were also wounded. Most of the soldiers who were killed were working for a wing of the army that is building roads in North Waziristan.

The U.S. has funded much of the road construction in the area in an attempt to win hearts and minds of the locals.

The army confirmed the death toll in a text message sent to reporters.

The Pakistani army has tens of thousands of soldiers based in North Waziristan but has resisted U.S. pressure to launch an offensive against Islamist militants in the area.

The U.S. has been pushing for an operation because Afghan Taliban militants use North Waziristan as a base to launch cross-border attacks against American troops in Afghanistan.

The Pakistani military says it can't launch an offensive because its forces are spread too thin fighting domestic Taliban militants who are waging war against the government.

But many analysts believe the Pakistani army is reluctant to cross Afghan militants with whom it has historical ties and could be useful allies in Afghanistan after most foreign forces withdraw at the end of 2014.

However, the area has become a greater problem for the Pakistani military because domestic Taliban militants have increasingly used it as a base of operations and conduct periodic attack against soldiers based in the area.

No group has yet claimed responsibility for the latest attack.

As Airline Sector Flies Higher, These Airline Supplier Stocks Look ...

The airline sector is sizzling, with rising demand from China and other emerging economies, based on my stock analysis. Revenues in the global airline sector are estimated at $671 billion this year, with profits of $10.6 billion, according to the International Air Transport Association. Plus, my stock analysis suggests that there are significant plane orders flowing in, which you can read more about in ?Aerospace: The Only Way Left to Play Global Growth.?

My stock analysis indicates that with the rise in demand, there is also a rise in the need for the materials used to build planes. A key material is carbon fiber?a compound used for applications that demand a high strength-to-weight ratio and rigidity, such as planes.

The global carbon fiber market is estimated to grow annually at 17% over the next five years to around 118,600 tonnes and a market value of about $7.3 billion by 2017, according to The Future of Carbon Fiber to 2017 report produced by Smithers Apex. From 2012 to 2020, the annual growth for carbon fiber-reinforced plastics is estimated at 16%. These metrics make carbon fiber plays an intriguing opportunity, according to my stock analysis.

My stock analysis indicates a potential play in the carbon fiber market for aggressive investors is small-cap special situations play Zoltek Companies, Inc. (NASDAQ/ZOLT), which is still attractive as it nears its 52-week high of $12.25. My stock analysis notes that Zoltek represents an above-average risk-to-reward opportunity in the equities market. (Please note: this is not a buy recommendation, but simply an example of a good investment opportunity for aggressive investors.)

Zoltek?s stock chart, featured below, shows a strong breakout from the upward channel with an upside gap, as indicated by the blue circle. The relative strength is strong, as is the moving average convergence/divergence (MACD); but you may want to hold off on considering buying until a possible retrenchment back to around $10.00 if the stock fails to hold, based on my technical analysis.

Zoltek, around since 1975, is the largest seller of carbon fiber for the low-cost end for commercial use, according to the company. The company?s carbon fiber is sold under the ?Panex? brand. Zoltek also develops a stabilized and oxidized acrylic fiber that?s used in flame- and heat-resistant applications sold under the ?Pyron? brand. In addition, Zoltek Automotive was formed in April 2010 to develop carbon fiber for the automotive sector.

Global markets include China, India, Korea, and South America (focus on Brazil), which makes the stock a global play, based on my stock analysis.

Zoltek reported higher fiscal sales from fiscal 2003 to fiscal 2007 and from fiscal 2011 to fiscal 2012. Sales increased from $41.8 million in fiscal 2002 to $186 million in fiscal 2012. The problem is that sales are estimated to fall 16.1% to $156 million in fiscal 2013, prior to a rebound of 17.3% in fiscal 2014, according to data from Thomson Financial.

But there?s also a battle brewing after investment firm Quinpario Partners LLC acquired a 10.3% interest in Zoltek, in an attempt to try to turn the company around. The problem is that Zoltek?scurrent management is resisting any changes. While a formal takeover offer has not surfaced, there is speculation that Quinpario may move in this direction.

While this situation plays itself out, my stock analysis suggests that if the carbon fiber sector grows, as is expected, and if Zoltek can regain its growth, we could see a corresponding rise in the company?s share price.
